TERMS OF USE — VenturaZ 1. WHO WE ARE VenturaZ is a Private Market Intelligence, diligence and capital-access platform owned and operated by Ultiwise Ventures Private Limited ("Ultiwise", "we", "us", "our"), a company incorporated under the Companies Act, 2013 with its registered office at Noida, Uttar Pradesh, India. VenturaZ is powered by CorpZo, a corporate services group serving thousands of Indian companies across compliance, legal, finance and fund-raising. These Terms of Use ("Terms") govern your access to and use of the VenturaZ website, mobile applications and related services (collectively, the "Platform"). 2. ACCEPTANCE By registering for, accessing or using the Platform you agree to be bound by these Terms, our Privacy Policy, Cookie Policy, Refund Policy, Risk Disclosure and the role-specific disclaimers referenced from them (each an "Agreement"). If you do not agree, you must not use the Platform. 3. WHAT VENTURAZ IS NOT VenturaZ is expressly NOT (a) a recognised or unrecognised stock exchange, (b) an alternative trading system or securities marketplace, (c) an alternative investment fund (AIF), (d) a portfolio manager, (e) an investment adviser under the SEBI (Investment Advisers) Regulations, 2013, (f) a crowdfunding platform, (g) a fund-pooling platform, or (h) a lender. Nothing on the Platform constitutes a public offer of securities or a solicitation to invest. 4. ELIGIBILITY & ACCOUNTS You must be at least 18 years old and legally competent to contract. Founders, investors and institutional users must complete role-specific KYC / KYB workflows before gaining full access. Ultiwise may refuse, suspend or terminate access at any time in its sole discretion, particularly on adverse verification, non-compliance, misuse or breach of these Terms. 5. LICENSE & RESTRICTIONS Subject to your continued compliance with these Terms, Ultiwise grants you a limited, non-exclusive, non-transferable, revocable license to access the Platform strictly for the purpose it is offered. You will not: (a) scrape, mirror, reverse-engineer, decompile, or disassemble the Platform; (b) attempt to defeat access controls, watermarks, redactions or masks; (c) use the Platform to solicit users off-platform; (d) share credentials; or (e) upload false, misleading, defamatory or infringing content. 6. USER-SUBMITTED CONTENT You retain ownership of the data and documents you upload but grant Ultiwise a worldwide, royalty-free license to store, process, mask, watermark and display such content solely for delivery of the Platform. You represent that you have all rights necessary to upload the content and that no upload infringes third-party rights. 7. PLATFORM ROLE Ultiwise is a technology intermediary. We facilitate curated introductions, diligence workflows, e-signature envelopes and secure data rooms — we do not act as your agent, adviser, broker, dealer, custodian or fiduciary. Any decision to engage, transact, invest or lend is your independent decision. 8. FEES Subscription tiers, Diligence-as-a-Service (DaaS) modules, e-sign credits, and other paid features are billed per the pricing displayed in-product. Refund treatment is governed by our Refund Policy. 9. THIRD-PARTY DATA Company data ingested from MCA / RoC and other public registries via licensed partners (including InstaFinancials) is provided for informational purposes only. Users should verify against primary sources before relying on it. 10. WARRANTIES & LIABILITY The Platform is provided "as-is" and "as-available" without any warranty of accuracy, availability, fitness for a particular purpose, or freedom from error. To the maximum extent permitted by law, Ultiwise's aggregate liability under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim. 11. INDEMNITY You agree to indemnify and hold harmless Ultiwise, its affiliates and their officers from claims arising out of your breach of these Terms or applicable law. 12. TERMINATION Either party may terminate the account at any time. Ultiwise may suspend immediately for breach or suspected fraud. Certain provisions (fees accrued, indemnity, IP, limitation of liability, dispute resolution) survive termination. 13. GOVERNING LAW & DISPUTE RESOLUTION These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Gautam Buddha Nagar (Noida), Uttar Pradesh, India, and, where invoked, resolved by arbitration under the Arbitration and Conciliation Act, 1996 with a sole arbitrator seated in Noida. 14. CHANGES We may update these Terms from time to time. Material changes will be notified in-product. Continued use of the Platform after notice constitutes acceptance. 15.
